Terms and Conditions
1. Scope
These terms and conditions regulate the contractual relationship (hereinafter referred to as the Order) between Mag. Susanne Wieser, MEDIA OFFICE CEE Publishing Representations & Cooperations (hereinafter MediaOffice) and the customer (hereinafter referred to as the Client), or the agency commissioned by the customer or any commissioned intermediary regarding the placement of the customer's advertising materials on the advertising media marketed by MediaOffice.
All agreements between MediaOffice and the Client are made in writing. Deviating written agreements between the parties mentioned take precedence over these terms and conditions.
2. Content
MediaOffice markets international print publications as well as electronic media (online, TV, radio) and OOH, and on request, special marketing cooperations. The main countries are Hungary, Czech Republic, and Poland. For each order, the respective terms and conditions of the publishing house apply, which will be provided upon request.
3. Order
The order specifies the customer, the advertising material, and the advertising medium (print publication, online portal, TV station, etc.) exactly. The customer's agency acts on behalf of the customer and is obliged to provide the customer's name. The order specifies the exact tariff and the time for placing the advertising material. Taxes or other charges are listed separately. Any self-performed services or extraordinary expenses of MediaOffice will be charged additionally.
MediaOffice is entitled to involve third parties for the fulfillment of contractual obligations at any time.
The tariffs are stated in the invoice currency and are based on the respective valid exchange rates. These can be adjusted in case of significant deviation. This will be communicated to the Client/agency in a timely manner. The Client is entitled to withdraw from the order in case of significant deviation. This must be communicated in writing. Any costs incurred by MediaOffice from the termination, in particular cancellation fees, expenses for third-party services, are to be reimbursed by the Client. MediaOffice must substantiate these costs to the Client. If the publishing house (media provider) provides Euro prices, these will be used for price calculation. If the publishing house tariffs change during the campaign period, the Client will be notified in a timely manner. In case of withdrawal from the order, the respective valid cancellation conditions of the publishing house apply.
MediaOffice transmits the order to the Client, who signs and returns it. If the customer's agency transmits the order, it will be signed and returned by MediaOffice. An additional confirmation by the publishing house can be requested by the Client in individual cases.
4. Payment Terms
Invoicing normally takes place after completion of the advertising campaign. Invoices are transmitted by MediaOffice in Euros plus statutory value-added tax. Unless otherwise stated, the payment period is a maximum of 30 days net without deduction. In case of required advance payment, the Client will inform the customer in a timely manner. If the Client refuses the advance payment, MediaOffice can either withdraw from the contract or add financing expenses of 1% p.m. of the outstanding amount if the order is not cancelled.
In case of payment delay, MediaOffice is entitled to charge 1% per month in default interest, plus reminder fees, collection expenses, and attorney fees. A payment delay automatically interrupts an ongoing order and MediaOffice can invoice all costs arising from the interruption. If a demanded payment is received, MediaOffice can make future advertising placements due and demand advance payment. It is at MediaOffice's discretion to cancel or continue the order.
5. Provision of Advertising Materials
The Client is obliged to deliver the advertising materials in a timely manner and in accordance with the technical specifications. The transmission is at the expense and risk of the Client.
If corrections are necessary, the Client is obliged to arrange for the corrections as quickly as possible at their own expense and to deliver the new advertising material.
The publishing house (media provider) is entitled to demand changes to the advertising material or to reject it, especially if it violates applicable law or good morals. The Client is obliged to correct the advertising material accordingly; if they fail to do so, they are obliged to pay the full order amount.
6. Contract Cancellation, Rebookings by the Customer
The agreed/concluded advertising orders are binding, a cancellation by the Client before the start of the campaign is only possible in exceptional cases. In this case, the cancellation conditions of the publishing house (media provider) apply and MediaOffice will communicate these to the Client. In case of cancellation, MediaOffice will invoice all costs for services provided up to the cancellation date (e.g., translation costs, production costs for advertising materials).
A rebooking during the campaign by the Client must be communicated in writing with reasons. The cancellation conditions of the publishing house (media provider) apply. All costs for services already provided as well as for future placements that can no longer be cancelled must be reimbursed.
7. Client Liability
The customer is liable for the content and legality of the text and print template transmitted for the advertising insertion (including any links and the content of the linked pages). The customer fully indemnifies MediaOffice against all claims of third parties (including legal costs) resulting from the advertising insertion.
If the Client has not transmitted the advertising material in a timely manner, defectively, or changed it subsequently, MediaOffice declines any liability for proper placement. Any additional costs incurred by MediaOffice from such a case will be invoiced to the Client.
8. MediaOffice Liability
MediaOffice is only liable for any damages in case of intent and gross negligence. The liability of MediaOffice for auxiliary persons is excluded, in particular also the liability for assumed translation services.
9. Other Provisions
The place of performance and jurisdiction is Vienna. In case of disputes between MediaOffice and a Client, the law of the Republic of Austria applies. If a provision of this agreement is or becomes invalid, the other provisions are not affected. MediaOffice can change the provisions at any time. These will then be published on www.cee-mediaoffice.com.
10. Privacy
The advertising order is processed in compliance with the applicable data protection regulations.
